Personal Finance (Not Investing) • Retention Bonus Question (Negotiate Proration?)

Hello All,
I am in middle-management for a manufacturing company that has recently announced a strategic review of our division. One of the potential outcomes is that our division may be sold, which may lead to role redundancies and layoffs. The result of the strategic review is expected in mid-2025.

With this background, I have been offered a 1-year retention bonus to be paid in early January 2026. I am eligible for a 6-month serverence pay based on tenure, in case my position is eliminated.

I wanted to ask if it would be prudent and reasonable to ask that the retention bonus be pro-rated in the event my positon is eliminated in the 3-12 month window from the retention-bonus-agreement start date. This is to avoid losing out on the bulk of the bonus amount in case my position is eliminated in the 11th month (for example), or in the extreme hypothetical case - the day before the agreement ends. The pro-rated bonus amount would be in addition to the severance pay.

Like all retention agreements I will not be eligible for the bonus if I resign or display bad performance (violate company policies, etc.).
